Die Drittelmitbestimmungslücke im Dienstleistungssektor. Ausmaß und Bestimmungsgründe

Abstract

In Deutschland ist die Arbeitnehmermitbestimmung im Aufsichtsrat abhängig von der Rechtsform und Firmengröße gesetzlich vorgeschrieben. Die vorliegende Arbeit demonstriert, dass entgegen den rechtskräftigen Regelungen dennoch weniger als die Hälfte aller GmbHs im westdeutschen Dienstleistungssektor mit 500 bis 2000 Beschäftigten einen drittelmitbestimmten Aufsichtsrat aufweisen. Um die ermittelte Mitbestimmungslücke erklären zu können wird eine ökonometrische Analyse potenzieller Bestimmungsgründe für das weit verbreitete Fehlen von Aufsichtsräten durchgeführt. Diese demonstriert den Einfluss verschiedener Variablen auf die Existenz des Organs. Es kann gezeigt werden, dass sich die Organisationsform des Hauptgesellschafters, aber auch die Beschäftigtenzahl auf die Wahrscheinlichkeit des Bestehens eines Aufsichtsrats auswirkt. Das Unternehmensalter spielt hingegen keine wichtige Rolle.
