Abstract

Specific committees are often portrayed as highly important venues for decision-making, and through their expansion to include employee representative directors, they contribute to a more shared governance. In this context, we specifically focus on the remuneration committee, which is the subject of a recommendation within the Afep-Medef code regarding the participation of an employee representative director in its proceedings. Non-compliance with this recommendation, in our view, signals resistance to codetermination. Through the analysis of universal registration documents, complemented by semi-structured interviews, our results highlight the resistance of certain French companies to the participation of employee representatives in the said committee, as evidenced by the analysis of the institutional responses provided by these companies. Furthermore, our findings underscore a contrast in the adoption of the recommendation among companies that implement it.
