Der Streit um das VW-Gesetz: Wie Europäische Kommission und Europäischer Gerichtshof die Unternehmenskontrolle liberalisieren

Abstract

Eine Vereinheitlichung der Unternehmenskontrollsysteme in der EU ist bis heute an den gegensätzlichen Interessen der Mitgliedstaaten gescheitert. Inzwischen haben die Europäische Kommission und der Europäische Gerichtshof begonnen, eigenständig marktliberale Vorgaben zur Regulierung der Unternehmenskontrolle durchzusetzen. Benjamin Werner rekonstruiert diese Entwicklung anhand der Auseinandersetzungen um "Goldene Aktien" und das deutsche VW-Gesetz. Dabei deckt er die politischen Bedingungen auf, die es den supranationalen Organen ermöglichen, bedeutende Integrationsfortschritte gegen den Willen der Mitgliedstaaten zu erzielen.
