Abstract

El derecho de sociedades y el gobierno de la sociedad anónima es el título que se escoge para una publicación que aborda, desde la orilla del Derecho de sociedades colombiano, el argumento del gobierno corporativo de la sociedad anónima inscrita o de grandes dimensiones en el ámbito nacional, esto sin perjuicio de la bibliografía de Derecho comparado citada por el autor y de alusiones a otros tipos de sociedad que se nutren de la disciplina de la sociedad anónima, particularmente la sociedad por acciones simplificada. El presente libro trata los principales temas de Derecho societario relacionados con el gobierno corporativo, comenzando por el interés social, esto es, la orientación que deben seguir, a la luz del ordenamiento nacional, quienes gobiernan la sociedad anónima en estrecha conexión con la concepción de empresa existente en los ámbitos constitucional y legal. Se continúa con la disciplina de los órganos de la sociedad anónima inscrita, para abordar luego el rol de los accionistas en el gobierno corporativo, finalizando con lo concerniente a la disciplina de los administradores desde la perspectiva de sus deberes y de su responsabilidad concebidos como límites a su poder en el seno de la empresa accionaria. Interés social, órganos, accionistas y administradores son los protagonistas societarios de ese gran tema denominado gobierno corporativo (corporate governance) y cuyo estudio implica referirse a la Responsabilidad Social Empresarial, la supervisión y el control de la actividad societaria, a la relación mayorías-minorías, a los acuerdos de accionistas, a los deberes de los administradores como prestación a su cargo y presupuesto de su responsabilidad contractual y extracontractual, temas todos tratados en la obra que se coloca a disposición de los interesados en el Derecho de sociedades.
