Abstract

Le papier aborde le rôle du pouvoir managérial dans une entreprise patrimoniale cotée. Ce pouvoir, expression de la propriété et du mandat, ne se comprend pas sans l'ensemble des dispositifs et des pratiques par lesquels les choix de l'entreprise sont conçus et validés. L'exemple des dispositifs de gouvernance de l'entreprise étudiée, l'entretien approfondi mené avec son dirigeant historique conduisent à mettre en évidence les modalités du projet d'entreprise sur plusieurs de ses facettes. Au delà du modèle de l'entreprise patrimoniale étudié et discuté, avec en son cœur le rôle du pouvoir managérial, le papier contribue à la réflexion engagée sur la pertinence d'une approche régulationniste de la gouvernance
