Abstract

Corporate governance makes it possible to analyze the different mechanisms for resolving conflicts generated by the separation of functions, thanks to the negative impact of the separation of ownership and control, which is analyzed by Berle and Means. Although these theories are different, they solve the delicate problem of the creation and distribution of value through the relationship between the manager and one or more other actors in the environment. In addition to these two theories, we have also observed the emergence of a third recent model, the cognitive governance model. On this basis, we offer a global reflection on the theories and behavioral principles that affect the normal functioning of the company in order to standardize the current global framework of research in corporate governance in the field of supervision and management.
