Impact des rôles et des caractéristiques du conseil d'administration sur le degré d'internationalisation des sociétés tunisiennes cotées

Abstract

— Cette recherche porte sur la contribution du conseil d'administration à l'internationalisation des sociétés tunisiennes cotées. Cet article vise à aller au-delà des approches conventionnelles de l'internationalisation en identifiant les rôles et les caractéristiques du conseil d'administration pouvant avoir un effet sur le degré d'internationalisation des entreprises étudiées. Les résultats de l'étude empirique portant sur 68 sociétés tunisiennes cotées révèlent un effet positif de rôle de stratège et de service du conseil d'administration sur le degré d'internationalisation. En outre, il a été montré que le rôle de monitoring du conseil d'administration ainsi que la taille de ce dernier ont des effets négatifs sur le degré d'internationalisation des entreprises étudiées. Les résultats obtenus convergent vers les enseignements de la théorie de l'agence ainsi que ceux de la théorie de la dépendance envers les ressources et suggèrent qu' une approche entrepreneuriale de la gouvernance d'entreprise, où le conseil d'administration est un atout stratégique de pilotage et de prise de décision, est plus appropriée pour les entreprises tunisiennes cotées compte tenu de la concentration de leurs structures de propriété ainsi que des spécificités du cadre institutionnel de l'économie tunisienne.
