Abstract

Großunternehmen sind zentrale Akteure westlicher Gesellschaften. Sie üben massiven Einfluss auf das wirtschaftliche und politische Geschehen aus. Die Machtverteilung innerhalb von Großunternehmen ist daher eine Frage von gesellschaftlicher und politischer Tragweite. Am Beispiel des Aktienrechts in Deutschland und den USA beschreibt Philipp Klages, wie sich neue Machtverhältnisse und Interessen in Großunternehmen auf die Rechtsentwicklung niederschlagen können. So wurden zum Beispiel in beiden Ländern die Rechte von Minderheitsaktionären ausgeweitet, nachdem sich die Vorstände einiger großer Unternehmen deren Interessen plötzlich zu eigen gemacht hatten.
