L'outsourcing : une approche par la théorie des coûts de transaction

Abstract

Dans cet article, nous définissons l'outsourcing comme le transfert de tout ou partie des systèmes d'information et de communication (SIC) existants d'une entreprise à un tiers. L'article s'appuie sur le modèle central de la théorie des coûts de transaction. Traditionnellement, ce modèle porte sur le choix entre faire et confier. Pour l'outsourcing, l'entreprise a déjà supporté de lourds investissements sur plusieurs années. Aussi, nous développons une analyse originale pour contribuer à répondre à la question suivante : à quelles conditions une entreprise peut-elle céder les droits de propriété sur des équipements et logiciels à forte spécificité, tout en établissant une relation de long terme avec le prestataire ? Enfin, l'article propose une généralisation et une réflexion approfondie sur les choix organisationnels et modes de gouvernance à adopter dans les cas d'outsourcing
