Abstract

Zusammenfassung Kapitel 6 beschäftigt sich mit den sogenannten Exit-Modellen, an den Beispielen der USA und UK. Diese Modelle funktionieren – anders als beim two-tier system – mit einem gemeinsamen Organ für Management und Kontrollen, dem Board of Directors. Es wird daher auch one-tier model, oder auch Vereinigungsmodell, genannt. Für die Corporate Governance Diskussion in den USA und darüber hinaus haben zwei Gegebenheiten einen besonderen Eindruck hinterlassen und die Sicht auf und die Diskussion über CG nachhaltig geprägt. Dies ist zum einen die Zeit um 2001/2002, die - neben dem 11. September 2001 – vor allem durch spektakuläre Unternehmenspleiten rund um Enron, Worldcom, Tyco, etc. geprägt war. Zum anderen die Finanzkrise knapp 10 Jahre später. Beide Gegebenheiten werden hier erläutert, um den geneigten Lesern die Hintergründe der Debatten und Gesetzesänderungen zu erläutern. Das Kapitel schließt mit der Vorstellung der Corporate Governance in UK.
