Abstract

Zusammenfassung Kap. 4 widmet sich den zugrunde liegenden Rechtsformen und Corporate Governance Systemen vieler Länder, in denen die hier betrachteten Unternehmen ihren Hauptsitz haben oder über Niederlassungen, Tochterfirmen oder Joint Ventures vertreten sind. Diese Grundlagen sind vor allem für Konzern(-aufsichtsräte) bzw. international tätige Direktoren von großer Bedeutung. Zunächst wird die Rechtsform der Kapitalgesellschaft erläutert, bevor zunächst recht detailliert die Kapitalgesellschaften im deutschsprachigen Raum vorgestellt werden. Es folgt dann ein Überblick über die Kapitalgesellschaften in Europa, bevor die Rechtsformen im anglo-amerikanischen Raum und danach in weiteren ausgewählten Ländern eingeführt werden. Dieses Kapitel soll die Vielfalt der Rechtsformen illustrieren und den geneigten Lesern erste Einblicke in die Varianz der potenziellen Wirkungsfelder geben. Für interessierte Lesende sind zu den Ländern je weitere Literaturhinweise gegeben.
