Neue Entwicklungen der Corporate Governance in Deutschland

Abstract

Zusammenfassung Parallel zu den intensiven Bemühungen der vergangenen Jahre um eine Verbesserung der Corporate Governance sind in der Praxis Spannungskräfte entstanden, die sich in einer weltweiten Finanz- und Wirtschaftskrise entladen haben. Vor dem Hintergrund dieser frappierenden Diskrepanz wird zunächst ein kurzer Blick zurück auf Meilensteine der deutschen Governancebewegung geworfen. Anschließend werden ausgewählte, seit Ausbruch der Krise durch Gesetz und Kodex eingeführte neue Regelungen zur Corporate Governance näher beleuchtet. Der Beitrag schließt mit einem Ausblick auf offene Governancefragen, wobei die tatsächliche Umsetzung des Kodex in der Praxis sowie die Rückbesinnung auf das marktwirtschaftliche Prinzip der ökonomischen Haftung im Mittelpunkt stehen.
