Les procédures d’introduction en Bourse en Europe : évolution des pratiques et perspectives

Abstract

[eng] IPO mechanisms in Europe : changes of procedures and challenges . Because IPO mechanisms determine the initial trading price and the allocation of newly-listed firms’ shares, they have financial and strategic consequences for shareholders. For that reason, it is of interest to analyse the relative advantages and disadvantages of the different procedures made available to candidate firms. A survey of listing practices in fifteen European countries shows the increasing prominence of book-building. Although this IPO mechanism is probably the only way to go public for young and risky firms that could not list otherwise, auctions run by exchanges may enhance the competitiveness and efficiency of the primary markets for issuers and investors. Further, in the prospect of integrated European stock markets, it appears necessary to pursue the harmonisation of IPO procedures and listing requirements that has started with the enforcement of the Prospectus Directive. . JEL classification : G14, G15, G24, G32 [fre] Les procédures d’introduction en Bourse règlent à la fois la fixation du prix d’introduction et l’allocation des titres. L’importance de leurs enjeux financiers et stratégiques conduit à s’interroger sur les mérites et les inconvénients des différents mécanismes d’introduction. La revue des pratiques dans 15 pays européens met en évidence l’hégémonie croissante de la méthode du livre d’ordres. Si la généralisation de cette technique a permis à des sociétés jeunes et risquées de s’introduire en Bourse, la mise à disposition par les Bourses de mécanismes d’enchère nous semble un facteur d’amélioration de la compétitivité du marché primaire pour les émetteurs et pour les investisseurs. Par ailleurs, dans la perspective d’une intégration des marchés d’actions européens, poursuivre l’harmonisation des procédures et des critères d’admission à la cote amorcée avec l’application de la Prospectus Directive paraît nécessaire. .
