Control of mergers in the European community

Abstract

Some familiarisation with European Community Law on mergers and acquisitions can save business executives costs in legal advice and improve their strategy. Noel Byrne explains how the European Commission can invoke the 1989 Regulation on the Control of Concentrations between Undertakings (Regulation 4064/89) as well as the rules of competition in Article 85 and 86/EEC as means of controlling mergers. Notification of a merger in advance is mandatory and, if not carried out, can result in heavy fines and suspension of the transaction. If managers are required to notify a merger to the Commission, it must be done by completing the important Form CO.
