Abstract

In this paper, we study the access of Japanese domestic market by Foreign Direct Investment (FDI) and specially Mergers and Acquisitions (M and A). We first analyse the legal reforms in Japan during the last fifteen years and their direct and indirect impact on « out-in » FDI flows and M and A. In the first part of the paper, we examine the major changes in the legal framework in Japan and their direct and indirect consequences on FDI and M and A. Then we evaluate the consequences of this new legal framework on FDI flows and M and A in Japan both at the geographic and industry level. We show that when specific legal measures and deregulation processes affect specific industries, the flow of FDI and M and A are more important than in other industries.
