Der deutschen Mitbestimmung entzogen: Unternehmen mit ausländischer Rechtsform nehmen zu. Umgehung der Mitbestimmung im Aufsichtsrat durch die Nutzung von ausländischen Rechtsformen

Abstract

- Die Zahl der in Deutschland ansäßigen größeren Unternehmen mit auslandischer Rechtsform steigt kontinuierlich. Ihren Beschaftigten werden bislang Mitbestimmungsrechte verweigert. Insgesamt 94 Unternehmen mit jeweils mehr als 500 Arbeitnehmern in Deutschland sind betroffen (Stand Juni 2014). - Bei den Auslandskapitalgesellschaften & Co. KG fand allein in den letzten knapp dreieinhalb Jahren (2011 bis Juni 2014) eine Zunahme von rund 50 % statt. Im Juni 2014 waren es 69 Falle. - Besonders fragwurdig erscheint diese Rechtsformwahl, wenn es keinen echten gesellschafterseitigen Auslandsbezug gibt (z.B. ALBA Group plc & Co.KG mit Axel und Eric Schweitzer als Gesellschafter) - In Deutschland ist eine gesetzliche Erstreckung der Mitbestimmung auf auslandische Rechtsformen notwendig, damit diese Benachteiligung von mehr als 200.000 Arbeitnehmern beendet wird.
