Responsabilité et indépendance du conseil d’administration : Les apports de l’analyse économique

Abstract

L'indépendance des administrateurs des sociétés cotées a fait l'objet de nombreuses études empiriques en finance. Les résultats sont globalement très peu probants sur l'efficacité de ce principe. Ces recherches ont pu masquer un autre débat, relevant de l'analyse économique du droit, relatif à la responsabilité des administrateurs. Sur cette question deux théories s'opposent, l'une défendant l'idée que les membres du conseil ont pour responsabilité de servir l'intérêt des seuls actionnaires, l'autre mettant en avant le principe d'une responsabilité élargie. Nous montrons que ces deux questionnements, sur l'indépendance et la responsabilité, ne sont pas sans lien. Selon le modèle de responsabilité retenu, l'indépendance s'impose avec plus ou moins de force. Corrélativement, les explications avancées pour rendre compte des résultats décevants de l'indépendance ne seront pas les mêmes selon que l'on adopte ou non un modèle « actionnarial » de responsabilité.
