Impact de la structure de propriété et de l'endettement sur les caractéristiques du conseil d'administration: étude empirique dans le contexte d'un pays émergent

Abstract

L'objectif de cette recherche est de mettre en exergue l'interaction du conseil d'administration avec d'autres mécanismes internes de gouvernance tel que la structure de propriété et l'endettement. Les tests menés sur un échantillon de 47 entreprises tunisiennes montrent que la structure de propriété et l'endettement jouent un rôle important dans la détermination des caractéristiques du conseil d'administration. Les résultats indiquent également que la structure du conseil est liée à d'autres facteurs tel que la taille de l'entreprise et la cotation en bourse.
