Abstract

Les entreprises peuvent opter pour un statut dit « entreprise à mission ». Mais ces missions peuvent-elles constituer un frein à la création de valeur pour les actionnaires ? Sont-elles contradictoires au versement des dividendes ? Cette séance explorera si les fonds activistes peuvent constituer une menace à la poursuite de missions que se fixent les entreprises dans le cadre de leur statut d' « entreprise à missions ». Centrée sur le cas de l'entreprise à missions Danone, la problématique principale consistera à se demander si Danone peut perdre ses objectifs de durabilité au profit d'objectifs financiers en raison de l'arrivée de fonds activistes au capital de l'entreprise ? Objectifs pédagogiques - nommer et expliquer « Entreprise à mission » et « fonds activiste » - mobiliser les modèles de gouvernance d'entreprise - nommer, expliquer et mobiliser le concept de « parties prenantes » - distinguer « stratégie financière » et « stratégie industrielle » d'entreprise - aborder la notion de responsabilité sociétale des entreprises - développer un esprit critique sur la thématique d'entreprise à mission Mots-clés Entreprise à missions - Actionnaire activiste - Fonds d'investissement - Partie prenante - Gouvernance - Danone Public L1, L2, L3 Secteur d'activité Agroalimentaire
