Abstract

Les grands principes et les mécanismes fondamentaux des opérations de fusion et acquisition sont présentés dans cet ouvrage. De la manière la plus simple possible, il est question d'expliquer les grands principes et la « mécanique générale » de celles-ci. Outre la dimension juridicofinancière incontournable, l'ouvrage aborde in fine les aspects organisationnels de ces opérations qui constituent généralement d'importants facteurs clés de succès. Dans cette perspective, l'ouvrage est organisé en deux parties principales : l'une sur les fusions, l'autre sur les acquisitions, composées elles-mêmes de différents chapitres permettant d'aborder de manière progressive et simple la problématique de ce que l'on désigne sous le vocable de « Mergers & Acquisitions » en termes anglo-saxons.
