Abstract

Cet article interroge dans un cadre théorique articulant les théories contractuelles de la gouvernance et l'analyse institutionnelle comparée, L'hypothèse très discutée de l'« américanisation » des systèmes de gouvernance des entreprises dans un contexte international. Grâce à une méthodologie adaptée à la nature longitudinale des données sociétales de la base Vigéo — Eiris (2004-2015), notre article montre que l'hypothèse d'un alignement des systèmes de gouvernance sur le modèle néo libéral n'est pas soutenable. Nos résultats accréditent plutôt l'idée d'une acceptation différenciée de la performance des entreprises en matière de gouvernance, imputable à des particularismes institutionnels et à des stratégies sociétales visant à préserver ou à développer le capital réputationnel des entreprises au sein de leurs systèmes économiques d'appartenance.
