Genesis and functioning of the board of directors of an entrepreneurial firm: the role of the directors’ social identification

Abstract

Nous montrons comment, malgré les obstacles propres aux firmes entrepreneuriales, le conseil d'administration de ces firmes, réputé jouer un rôle déterminant dans leur performance, parvient à se former et à fonctionner grâce aux processus d'identification sociale à l'œuvre entre ses membres. Le cas de la startup EBV est analysé suite à des entretiens avec les acteurs de sa première levée de fonds. Nous étudions les processus d'identifications sociales et les interactions de huit administrateurs potentiels. Un modèle enraciné de la genèse du conseil des firmes entrepreneuriales, ancré dans une théorie comportementale et sociale de la gouvernance entrepreneuriale, est alors proposé.
