Les cibles de prises de contrôle en France: caractéristiques et probabilité d’acquisition

Abstract

L'identification à un stade précoce des cibles potentielles d'une prise de contrôle a des implications majeures pour les dirigeants en matière de gouvernance d'entreprise et pour les gestionnaires de portefeuille en termes d'opportunité d'investissement. Notre étude se focalise sur les caractéristiques des cibles d'acquisition, la nature des facteurs discriminants et la fiabilité des outils de prédiction. Elle porte sur 180 entreprises françaises cotées sur Euronext dont 58 cibles d'acquisition et 122 entreprises de contrôle sur la période 2001-2009. L'analyse empirique suggère que les cibles d'acquisition sont des entreprises de petites taille et avec un faible niveau de liquidité. En outre, elles ont un actionnariat dispersé et font l'objet d'un volume de transactions particulièrement élevé un mois avant l'acquisition. Nos résultats montrent enfin une capacité prédictive élevée des modèles issus de la phase d'apprentissage.
