Abstract

Les fusions sont une réalité importante dans le monde économique actuel. Le secteur de l'assurance n'échappe pas à cette logique de croissance externe. On peut citer le cas exemplaire de la société AXA, dont la croissance internationale rapide est en partie le fruit de cette stratégie. En dépit du caractère emblématique de l'exemple d'AXA, il ne faut pas avoir une vision trop idéalisée des conséquences d'une fusion et être conscient des nombreuses difficultés tant économiques que managériales qui peuvent en résulter. Notre propos est ici de décrire certaines difficultés d'une fusion dans le secteur de l'assurance. Nous nous fonderons sur une étude du cas d'une fusion entre deux entreprises d'assurance françaises. Nous présenterons, dans un premier temps, l'histoire et la culture des deux entreprises à l'origine de la fusion. Puis, nous expliquerons le déroulement de la fusion entre les deux entreprises. Enfin, nous décrirons les difficultés, notamment culturelles, provenant de cette fusion.
