Abstract

L'actuel droit français de la faillite sépare le traitement extrajudiciaire des difficultés des entreprises du traitement judiciaire de leur défaillance. Depuis la loi de 1994, cette distinction n'a plus un caractère dichotomique car, au cours du règlement amiable, le président du tribunal de commerce peut ordonner une suspension provisoire des poursuites. À travers une étude de cas, nous montrons les inconvénients potentiels de cet instrument de contrainte. Dans ce but, nous utilisons un jeu de signal car le représentant de l'entreprise en difficulté est le seul, d'une part, à connaître l'exacte situation financière de son entreprise et, d'autre part, à pouvoir solliciter du président du tribunal de commerce l'engagement du règlement amiable.
