Zur weiteren Notwendigkeit der Governance von „Directors’ Dealings“ in Deutschland

Abstract

Der Beitrag untersucht die Kapitalmarktreaktionen auf Eigengeschäfte der Führungskräfte börsennotierter deutscher Unternehmen („Directors’ Dealings“) der Indizes DAX, MDAX und TecDAX. Dazu werden mittels einer Ereignisstudie für die Jahre 2011 bis 2016 die Kursreaktionen um den Transaktions- sowie Veröffentlichungszeitpunkt von Directors’ Dealings untersucht. Es zeigen sich signifikante Kapitalmarktreaktionen sowohl bei Kauf- als auch bei Verkaufstransaktionen. Ähnlich wie in den USA und Großbritannien haben die beobachteten Renditen in den vergangenen fünf Jahren zwar deutlich abgenommen, sind aber im Gegensatz zu anderen Ländern noch signifikant gegeben und eröffnen den agierenden Führungskräften die Chance auf persönliche Profite aus ihren Wissensvorsprüngen.
