Het verband tussen CEO-remuneratie en bedrijfsperformance bij BEL20-genoteerde ondernemingen

Abstract

Deze paper schetst een beeld van de aard en omvang van de CEO remuneratie in publieke ondernemingen in de Bel20. Hoewel er grote onderlinge verschillen zijn naar omvang toe, valt op dat het gemiddelde compensatiepakket een groot aandeel variabele vergoeding kent dat afhankelijk zou moeten zijn van de bedrijfsprestaties. In de theorie wordt dit beschreven als optimal contracting. Het nagaan van de correlatie tussen compensatieniveau en bedrijfsperformance leidde echter ook tot een ontluisterende vaststelling: zo bleek slechts bij negen van negentien ondernemingen sprake te zijn van een positief verband tussen de compensatie en de ROA. De praktijk doet dus vermoeden dat er met betrekking tot de variabele vergoeding bij Belgische publieke ondernemingen slechts in beperkte mate sprake is van pay for performance. Op basis van het onderzoek naar de communicatie van de CEO-compensatie in 60 jaarverslagen worden praktische aanbevelingen geformuleerd die de soms gebrekkige transparantie zouden kunnen verhogen.
