Ondernemingsgroepen en interne kapitaalmarkten: Een literatuuroverzicht

Abstract

Ondernemingsgroepen komen overal ter wereld voor maar de opvatting, het doel en de werking ervan kunnen heel uiteenlopend zijn. Met deze paper willen we een overzicht geven van de bestaande literatuur over ondernemingsgroepen, met specifieke aandacht voor Europese en voor Belgische ondernemingsgroepen. Veel voorkomend bij deze laatste is de aanwezigheid van referentieaandeelhouders. Een belangrijke categorie van referentieaandeelhouders bij Europese groepen zijn de holdingmaatschappijen. Op hun beurt kunnen deze de spil vormen van de interne kapitaalmarkt binnen de groep. De toegang tot deze interne kapitaalmarkten, die één van de gevolgen is van het behoren tot een ondernemingsgroep, kan een belangrijke impact hebben voor de groepsleden. We gaan dan ook dieper in op de mogelijke waardecreatie of waardevernietiging door een interne kapitaalmarkt.
