Abstract

Compared with the organized exchange market, the OTC market is characterized by decentralized registration, “peer-to-peer” transactions and distributed operation. Its advantages lie in the flexibility of the mechanism and diversity of products. Its disadvantages are as follows: Fragmented registration easily leads to inconsistencies in registration and impedes the free transfer of product ownership; the business involves many parties, resulting in low efficiency and a high cost of information exchange; and the market is not transparent or fully visible to regulators, putting investors at a risk of loss.
