Abstract

This chapter is devoted to providing background information on Vietnam, with references to China and other emerging markets in Asia, which forms the research context of this book. It explains the economic reform in Vietnam and China. When the economy opens up, the role of the state and SOEs has also changed, which introduces new corporate governance challenges to the market. The new version of SOEs in its mixed ownership calls for a new perspective to understand state ownership. This chapter characterises the similarities and differences among institutional features of the Vietnamese and Chinese markets that help form hypotheses on how they may impact governance outcomes and performance of companies with state capital. A comparative study between China, Vietnam and other ASEAN countries is conducted to tease out the key issues and inferences of state ownership due to different political regimes and market conditions.
