Abstract

Zusammenfassung Die Dekarbonisierung unserer Wirtschaft ist in vollem Gange. Dieser Prozess birgt für nahezu jedes Unternehmen Chancen und Risiken. Diese ESG-bezogenen Treiber werden in Zukunft immer wichtiger für den Erfolg von M&A-Transaktionen werden. Schon jetzt lassen sich vielfach Bewertungsprämien für Unternehmen erzielen, die bei ihrer nachhaltigen Transformation weit vorangeschritten sind. Verschiedene Marktbefragungen zeigen jedoch, wie sehr sich bei ESG Due Diligence und ESG Value Creation die Wunschvorstellungen vieler Finanzinvestoren immer noch von deren konkreter Arbeit unterscheiden. In diesem Beitrag beleuchten wir diese Diskrepanzen, die ESG-Treiber am Markt und anhand eines Beispiels auch die konkreten Möglichkeiten, wie sich eine nachhaltige Investitionsstrategie sowie eine strukturierte ESG Due Diligence und ESG Value Creation systematisch miteinander verzahnen lassen, um die Erfolgschancen von M&A-Transaktionen zu erhöhen.
