Abstract

Zusammenfassung Familiengeführte Mittelstandsunternehmen berücksichtigen oft schon lange vor dem Aufkommen von ESG soziale und Governance-Kriterien aufgrund ihrer Kultur und Führungsstile. Dies ist besonders relevant in Zeiten des Fachkräftemangels. Ein Praxisbeispiel aus dem Jahr 2022 zeigt die Herausforderungen bei der ESG-konformen Personalbesetzung einer neuen Geschäftsführung. Interne und externe ESG-Kriterien beeinflussten die Entscheidung, wobei der soziale Umgang oft schwierig zu kategorisieren ist. Eine weitere Akquisition eines polnischen Händlers verdeutlicht kulturelle Unterschiede und die Bedeutung von Vertrauen. Unterschiedliche Anforderungen an ESG-Kriterien innerhalb und außerhalb Deutschlands beeinflussen die Akquisitionsstrategie. Beispielsweise haben steigende regulatorische Anforderungen in Asien und Europa dazu geführt, dass Unternehmen Produktionskapazitäten in Frankreich und Israel übernehmen, um ESG-Kriterien besser zu erfüllen und sich unabhängiger von asiatischen Märkten zu machen. Insgesamt zeigt sich, dass ESG-Kriterien in M&A-Transaktionen zunehmend an Bedeutung gewinnen und komplexe Herausforderungen mit sich bringen.
