Abstract

Zusammenfassung Wo Nachhaltigkeitskriterien gesellschaftlich wie gesetzlich immer mehr an Bedeutung gewinnen, hat dies auch Auswirkungen auf die Vertragsgestaltung beim Unternehmenskauf. Dem Erwerber wird immer wichtiger, seinem Portfolio ein Unternehmen hinzuzufügen, welches nach ESG-Kriterien nachhaltig geführt wird, dem Veräußerer geht es um die Sicherheit, bis zum Closing seinen Nachhaltigkeitspflichten Genüge getan zu haben. Die Pflichten und Erwartungen, die nach ESG-Kriterien an Unternehmen gestellt werden, werden dabei immer umfangreicher. Oft ist nur noch schwer zu erkennen, wo hier Risiken für die Beteiligten liegen. Beide Seiten unterliegen daher dem Risiko, für Rechtsverletzungen in Anspruch genommen zu werden – vom Reputationsschaden ganz abgesehen. Der Beitrag zeigt diese Risiken auf und erörtert Möglichkeiten, sie zu minimieren. Er setzt sich zudem mit Möglichkeiten auseinander, die wechselseitigen Risiken angemessen zwischen den Parteien zu verteilen.
