Abstract

Zusammenfassung Immobilien-Personengesellschaften sind ein praxisrelevantes Investitionsvehikel. Im Zivilrecht erfolgt die Unterteilung der Personenzusammenschlüsse in Gesellschaften und Gemeinschaften. Während sich Gesellschaften durch einen gemeinsamen Zweck auszeichnen, verfügen Gemeinschaften über gemeinsames Eigentum. Gesellschaften können zudem grundsätzlich rechtsfähig, teilrechtsfähig oder nicht rechtsfähig sein. Demgegenüber können Gemeinschaften zu Bruchteilen (zum Beispiel an Grundstücken) oder zur gesamten Hand (zum Beispiel bei Erbengemeinschaften) bestehen. Aus dieser Perspektive betrachtet setzt das Steuerrecht eine Zweiteilung nach Personengruppen einerseits und Körperschaften andererseits entgegen (Dualismus von Einkommensteuer und Körperschaftsteuer). Gesellschaftsrechtlich können Personengesellschaften grundsätzlich nach den §§ 705 ff. BGB als sogenannte BGB-Gesellschaft (GbR), nach §§ 105 ff. HGB als offene Handelsgesellschaft (OHG) und nach §§ 161 ff. HGB als Kommanditgesellschaft (KG) oder als vergleichbare Rechtsform ausländischen Rechts in Erscheinung treten. Überdies hat sich in der Praxis die GmbH & Co. KG etabliert, die in der Rechtsform der KG auftritt, mit der Besonderheit, dass ihr einzig persönlich haftender Gesellschafter (Komplementär) eine GmbH ist. Immobilien-Personengesellschaften kommen zumeist als GbR, KG oder GmbH & Co. KG vor. Grundbuchrechtlich eingetragen ist die Personenhandelsgesellschaft selbst, sowie die Gesellschaft bürgerlichen Rechts mit ihren Gesellschaftern.
