Abstract

Zusammenfassung Der Gesetzes- und Richtlinienkatalogkatalog zu Vergütungsfragen in Kreditinstituten ist ohne Beispiel: EU-Recht, EBA-Guidelines for sound compensation, 2.0 aus dem Jahr 2021 (EBA-GSR), § 87 und § 87a AktG (Aktiengesetz 2022), § 25a KWG, MaComp (2021) und die Institutsvergütungsverordnung (InstVV 2021), um nur die wesentlichen zu nennen (vgl. Übersicht in Auslegungshilfe 2018, S. 4). Keine andere Branche hat in den letzten ca. zehn Jahren solche weitreichenden und die Selbstbestimmung der Unternehmen einschränkenden Regulierungen erfahren. Kreditinstitute und Wertpapierfirmen sind den restriktivsten Anforderungen unterworfen (vgl. für viele im ebenso umfassenden wie detaillierten Überblick Binder 2020, S. 67–103, insb. S. 72 f.; Böcking und Bundle 2020a, S. 283–309; bezogen auf Risikomanagement im Speziellen Kaiser und Wahrenburg 2020, S. 242 f.). Dies gilt auch und besonders für die Vergütung von Risikoträgern, d. h. Bankvorstände und weitere Bankmanager.
