Abstract

Zusammenfassung Geschäftsführer und Vorstände stehen in der Unternehmenskrise im Fadenkreuz strafrechtlicher, zivilrechtlicher und steuerrechtlicher Haftung. Es ergeben sich für die Unternehmensleitung Handlungspflichten, die letztendlich die Gläubiger, die Gesellschafter und auch das Unternehmen selbst schützen sollen. Diese Handlungspflichten werden u. a. durch die zwingende Verpflichtung zur Implementierung eines KrisenfrüherkennungssystemsKrisenfrüherkennungssystem nach § 1 StaRUG und den umfassenden Haftungspflichten für GeschäftsleiterHaftungspflicht für Geschäftsleiter aller juristischen Personen und damit aller Geschäftsführer und Vorstände in § 15b InsO geregelt. Dabei müssen die Verantwortlichen bedenken, dass der Insolvenzverwalter und auch die Staatsanwaltschaft quasi automatisch diese Haftung im Fall der Eröffnung oder Nichteröffnung des Insolvenzverfahrens mangels Masse prüfen und auch durchsetzen.
