Abstract

Zusammenfassung In diesem Kapitel werden wir uns zunächst den Aufgaben des Aufsichtsrats im Allgemeinen widmen (s. Abschn. 5.1). Darauf aufbauend sollen seine nachhaltigkeitsbezogenen Pflichten dargestellt werden (s. Abschn. 5.2). Wegen seiner Aufgabe, den Vorstand zu überwachen und zu beraten, sind diese in erster Linie akzessorisch zu den nachhaltigkeitsbezogenen Pflichten des Vorstands, die im vorigen Kapitel besprochen wurden. Der zweite Teil dieses Kapitels befasst sich mit der aufsichtsratlichen Binnenorganisation, die wir zunächst unter einem allgemeinen Blickwinkel (s. Abschn. 5.3) und anschließend mit Blick auf die zuvor ermittelten nachhaltigkeitsbezogenen Aufgaben des Aufsichtsrats (s. Abschn. 5.4) betrachten wollen.
