Juristische Argumentation und Vertragsgestaltung am Beispiel der Erteilung und des Widerrufs einer Prokura

Abstract

Die Gründung und der Betrieb eines Unternehmens stellen zweifelsohne hohe betriebswirtschaftliche Anforderungen an die Unternehmer. Soll das Unternehmen im Rechtskleid einer Handelsgesellschaft betrieben werden und schlüpfen die Unternehmer dabei in die Rolle als Gesellschafter und Geschäftsführer, kommt den Regelungen des Gesellschaftsvertrages eine gewichtige Bedeutung für die Rechtsbeziehungen der Gesellschafter untereinander und zur Gesellschaft zu. Ihnen wird bei der Abfassung des Gesellschaftsvertrages indessen häufig nicht die gebührende Aufmerksamkeit zugewendet. Welche Komplikationen sich daraus bei der GmbH und OHG/KG ergeben können, wird am Beispiel der Erteilung und des Widerrufs von Prokura erläutert. Gleichzeitig wird an diesem Beispiel dargelegt, dass solche Komplikationen durch eine gründliche Vertragsgestaltung vermieden werden können. Die damit verbundenen Kosten sollten als sinnvolle Investition in die unternehmerische Zukunft begriffen werden.
