Abstract

Zusammenfassung Die Wahl der richtigen Finanzierungsstruktur ist bereits frühzeitig im Hinblick auf die Steigerung des Unternehmenswertes und die Bewertung beim Exit von Bedeutung. Dies gilt nicht nur für die Sicherstellung ständiger Liquidität des Start-ups, sondern ebenso in Bezug auf dessen Wachstumsgeschwindigkeit, die maßgeblich davon abhängt, ob sich die Gründer auf die eigentliche Geschäftsentwicklung konzentrieren können, ohne sich fortlaufend um frisches Kapital bemühen zu müssen. Ferner bestimmt die der Finanzierungsstruktur folgende Verteilung der Geschäftsanteile am Unternehmen (cap table) maßgeblich die Struktur sowie Machbarkeit einer Folgefinanzierung.
