Abstract

The chapter represents a segue from the opening tale of the Bank of Commerce to an introduction of the book’s central purpose—a presentation and analysis of the restructuring process and the various conflicting institutional and personal currents present in such transactions. The lessons learned from the tale and other “war stories” in the book are aimed at aiding the parties involved in future deals to navigate the deal and relationship challenges present in restructurings. The text opens with a summary of the tale and the major issues and questions arising from the action. This is followed by an exposition of the purpose of the book, complemented by a discussion of what the book does not pretend to be, and of the central structure of the five phases of a restructuring process, namely: (i) Pre-Restructuring (i.e., analysis and monitoring); (ii) Decision to Restructure; (iii) Decision to Restructure; (iv) Case Set-up; and (iv) Structuring and Negotiation. The latter is done in a highly summarized form in order to create a road map of the core of the book that follows.
