Abstract

In June 1973, Airfix Industries Ltd, a large UK toy company, was approached by a small company, Seed Oysters (UK) Ltd, with a request for venture capital. This was caused by the cancellation of an overdraft facility, owing to the insolvency of its principal shareholder. The company urgently sought new finance (1) to cover immediate cash needs whilst financing initial sales; and (2) for a general operating reserve, especially during the winter, when few sales would be made. This was the first time that the members of the board of Airfix had heard of the company and its directors.
