Shareholders’ Rights Directive II (SRD II)

Abstract

Directive (EU) 2017/828 of the European Parliament and of the Council of 17 May 2017 (SRD II) amends the original Shareholder Rights Directive (SRD I), which entered into force in 2007 and established requirements in relation to the exercise of certain shareholder rights in companies which have their registered office in a Member State and the shares of which are admitted to trading on a regulated market situated or operating within a Member State. The aim of SRD II is to encourage long-term shareholder engagement and to enhance transparency between companies and investors. SRD II sets out specific requirements which apply in relation to the identification of shareholders, the transmission of information, the facilitation of exercise of shareholders’ rights, transparency of institutional investors, asset managers and proxy advisors, remuneration of directors and related party transactions.
