Long-term contracts in the 2016 Unidroit Principles of International Commercial Contracts

Abstract

The chapter analyses the new rules and comments on long-term contracts in the 2016 PICC. It starts by providing some background on the drafting history of the 2016 PICC, before discussing the key decisions for the Working Group in the preparation of the Principles, with a particular focus on the definition of long-term contracts and the controversial, and ultimately rejected, provision on termination for compelling reason. The contribution then explores whether the Principles in their current form offer a suitable framework for international contracts in light of the growing number of national and supranational supply chain due diligence regulations. The chapter concludes with a short summary and some brief remarks on the way forward.
