Values conflicts and the board of directors

Abstract

Boards of directors are increasingly faced with how to give voice to their values, especially when presented with certain ethical challenges, exacerbating the need for this type of board-level competence. While there may be numerous challenges unique to a single board, there are five key challenges that are central to achieving optimal board dynamics. In this chapter, I outline the values conflicts that may arise in (1) strategic planning and monitoring, (2) director independence and nomination, (3) cybersecurity and digital innovation, (4) CEO succession planning, and (5) executive compensation.
