Abstract

Joint Ventures stellen eine wichtige Kooperationsform in der Unternehmenspraxis dar. Bei ihrer Gründung sind in der Regel spezifische Investitionen erforderlich, die durch formale Verträge nur unvollständig abgesichert werden können. Als Konsequenz besteht die Gefahr von Hold-up-Situationen und damit verbundenen Anreizen zur Unterinvestition. Alexander Susanek zeigt mit Hilfe eines formalen vertragstheoretischen Modells, unter welchen Bedingungen durch Lieferbeziehungen, Lizenzvereinbarungen und Kaufoptionen effiziente Investitionsanreize für die Muttergesellschaften erzielt werden können. Aus den Ergebnissen werden wichtige Erkenntnisse für die Bedeutung des Unterinvestitionsproblems in Joint Ventures und praktische Empfehlungen für die Gestaltung von Joint Venture-Vertragsbeziehungen abgeleitet.
