Regroupements d'entreprises et IFRS: le cas de GlobeCom Corporation et Synthetics Inc

Abstract

This case addresses the accounting for mergers and acquisitions in Canada. Since January 1, 2011, any new transactions from mergers and acquisitions made by a public company must be recorded in accordance with the International Financial Reporting Standards (IFRS). In the case of a partial acquisitions, two theoretical approaches to accounting is allowed under IFRS 3: the approach of a separate entity and the modified approach of the parent entity. For mergers and acquisitions that occurred before this date, firms could either be early adopters to IFRS or firms could apply the Canadian standards that were allowed at the time of reunification. Under Canadian GAAP (CICA, Chap. 1581), partial acquisitions are accounted for using the approach of the parent entity. Canadian public companies that have chosen to recognize their business combinations which occurred before January 1, 2011, according to the approach of the parent entity, may continue to do so even after the enforcement of IFRS. Thus for years to come, we can see in the financial statements of various Canadian public companies business combinations presented in three different ways: according to the separate entity approach, the parent entity approach and, the modified approach of the parent entity. We also include in the case the U.S. GAAP for mergers and acquisitions. In this case, we strongly draw on an acquisition that actually happened, which we adapted to illustrate the three theoretical approaches to account for mergers and acquisitions. In particular, we have changed the name of the company. Résumé Ce cas traite de la comptabilisation des regroupements d'entreprises au Canada. Depuis le 1er janvier 2011, toute nouvelle opération de regroupements d'entreprises effectuée par une société ouverte doit être comptabilisée conformément aux normes internationales d'informations financières (IFRS). Dans le cas d'acquisitions partielles d'entreprises, deux approches théoriques de comptabilisation sont permises sous IFRS 3 : l'approche de l'entité distincte et l'approche de l'entité consolidante étendue. Quant aux regroupements survenus avant cette date, il était permis de les comptabiliser soit en appliquant de façon anticipée les IFRS, soit en appliquant les normes canadiennes en vigueur au moment du regroupement. Sous les normes canadiennes (ICCA, Chap.1581), les acquisitions partielles d'entreprises sont comptabilisées selon l'approche de l'entité consolidante. Les sociétés ouvertes canadiennes ayant choisi de comptabiliser leurs regroupements d'entreprises survenus avant le 1ier janvier 2011 selon l'approche de l'entité consolidante peuvent continuer de le faire même après l'entrée en vigueur des IFRS. Ainsi, actuellement et encore pour plusieurs années à venir, nous pouvons voir dans les états financiers des différentes sociétés ouvertes canadiennes des regroupements d'entreprises présentés de trois façons différentes, soit selon les approches de l'entité distincte, de l'entité consolidante étendue ou de l'entité consolidante. Nous mentionnons aussi dans ce cas les normes comptables Américaines portant sur les regroupements d'entre prises. Dans le présent cas, nous nous inspirons fortement d'un regroupement d'entreprises qui s'est réellement produit, mais que nous avons modifié, incluant le nom des entreprises, pour illustrer les trois approches théoriques de consolidation.
