Сравнительная Характеристика Договора Об Осуществлении Прав Участников Обществ С Ограниченной Ответственностью И Акционерного Соглашения

Abstract

Корпоративные соглашения являются правовой конструкцией, новой для российского законодательства. В статье анализируется их правовая природа и место в системе права. Налицо целый ряд положений этих документов, противоречащих действующим в стране Законам об акционерных обществах и об обществах с ограниченной ответственностью (ООО), что вносит неопределенность в применение этих документов на практике. В составе корпоративных соглашений преобладают акционерные соглашения. Необходима адаптация корпоративных соглашений к российским правовым нормам путем изменения императивного характера имеющихся законодательных норм на диспозитивный. Необходимо применение аналогии закона в регулировании корпоративных соглашений.
