Система Превентивных Мер, Направленных Против Злоупотреблений Правом В Акционерных Правоотношениях

Abstract

В ходе функционирования акционерных обществ довольно часто возникают ситуации, когда одна из сторон корпоративного конфликта злоупотребляет принадлежащим ей правом. Автор исследует систему законодательных и внутренних (предусмотренных уставом и внутренними документами акционерного общества) способов защиты от злоупотреблений правом в корпоративных отношениях. Основное внимание в статье уделяется разработке и применению предупредительных мер, направленных на исключение возможности злоупотребления правом. Такие меры, прежде всего, должны содержаться в локальных актах, регламентирующих деятельность общества и его органов управления. Положения и выводы проведенного исследования могут быть использованы для развития и совершенствования корпоративного законодательства, судебной практики, а также при разработке внутренних документов акционерных обществ.
