Принципы Признания Крупных Сделок И Сделок С Заинтересованностью, Совершаемых Участниками Рынка Ценных Бумаг

Abstract

В статье рассмотрены принципы признания крупных сделок и сделок с заинтересованностью, совершаемых участниками рынка ценных бумаг с учетом действующего законодательства, актуальных научных исследований, а также мировой практи. В число данных принципов, автор включает, например, информирование и соблюдение интересов исключительно лиц (органов), чьи интересы могут быть нарушены; государственный контроль; периодическое публичное или локальное раскрытие информации; признание легитимности одобрения крупной сделки или сделки с заинтересованностью независимо от даты заключения или исполнения такой сделки и др. В завершение статьи, автор делает умозаключение о необходимости добавления принципа независимой оценки последствий одобряемой сделки, а также расширения функций саморегулируемых организаций.
