Abstract

В статье анализируются теории, объясняющие мотивы сделок M&A. В контексте задачи прироста стоимости и на основе положений мотивационных теорий выявлен мотив реализации сделок M&A, который ведет к созданию добавленной стоимости объединенной компании – синергетический эффект, который зачастую рассматривается как основной. Поскольку достижение синергетического эффекта происходит непосредственно в процессе интеграции компаний, рассмотрен процесс интеграции, приведены его основные характеристики, такие как степень и длительность интеграции, способы интеграции и оценка ее результатов.
